By accessing or using the service, you agree to these Terms. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The service is intended for professional, commercial, and organizational use. You must be legally capable of entering into a binding agreement and must comply with applicable laws, regulations, and contractual obligations when using the service.

You retain ownership of the documents and data you upload, submit, or generate using the service (“User Content”), subject to the rights necessary for us to host, process, store, reproduce, adapt, and display that content solely to provide, secure, maintain, improve, and support the service. You represent and warrant that you have all rights, permissions, and lawful authority necessary to upload and process User Content.

5.1 Responsibility for content

You are responsible for verifying the accuracy, completeness, lawfulness, and suitability of your User Content, generated output, and any submittal package before sharing or relying on it. We do not independently verify the technical accuracy of source materials you upload.

6. Service changes, beta features, and availability

We may modify, improve, suspend, or discontinue features at any time. Availability may be affected by maintenance, outages, incidents, security events, third-party failures, or changes in dependencies. Beta or preview features may be incomplete and are provided “as is.”

7. Fees, billing, and renewals (if applicable)

If the service is offered on a paid basis, fees, billing cycles, taxes, and plan limits will be disclosed at purchase or in an ordering document. Unless stated otherwise, fees are non-refundable except where required by law or expressly stated by us. If you offer or buy automatically renewing service terms, renewal disclosures, cancellation procedures, and reminder notices should be handled in a clear and conspicuous manner consistent with applicable law.

8. Intellectual property

We and our licensors retain all rights in the service, including software, workflows, interfaces, branding, and documentation, except for User Content you provide. No ownership rights are transferred to you except for the limited rights expressly granted in these Terms.

9. Confidentiality

Where we receive non-public information in the course of providing the service, we will use it only for service delivery, support, security, and related operational purposes, subject to these Terms, our Privacy Policy, and applicable law.

10. Suspension and termination

We may suspend or terminate access immediately if we reasonably believe you have violated these Terms, created legal or security risk, failed to pay applicable fees, or threatened the integrity or availability of the service. Upon termination, your right to access the service ends, but provisions that by their nature should survive will remain in effect.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. EXCEPT AS EXPRESSLY PROVIDED IN A SIGNED WRITTEN AGREEMENT, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND AVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

You agree to defend, indemnify, and hold harmless and its affiliates, officers, directors, employees, contractors, and licensors from and against claims, losses, damages, liabilities, judgments, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the service, your violation of these Terms, or your violation of law or third-party rights.

14. Governing law; venue; disputes

These Terms are governed by the laws of the State of , without regard to conflict of laws principles. Unless otherwise required by law or agreed in writing, disputes arising out of or relating to the service or these Terms shall be brought exclusively in the state or federal courts located in , and each party consents to personal jurisdiction and venue in those courts.

You consent to receive communications from us electronically, including by email, in-app notices, and postings to the service. You are responsible for keeping your contact information current.

16. Entire agreement; severability; no waiver; assignment

These Terms, together with the Privacy Policy, Security Policy, and any applicable order form or written agreement, constitute the entire agreement between you and us regarding the service. If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent, except where prohibited by law. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
